Transferring company vehicles

If you wish to transfer a vehicle with current registration from a private individual to another private individual or company, a Vehicle Registration Transfer form, a current Certificate of Roadworthiness, transfer fee and the appropriate motor vehicle duty are required. These are all legal requirements.


Change of company name
When a company wishes to change its name, it must receive approval from the Australian Securities and Investment Commission (ASIC). Upon approval, the ASIC will issue a Certificate of Registration on Change of Name (Form 205 - Notification of a Resolution). A copy of this certificate and a letter listing all vehicles to be changed to the new name must be presented for VicRoads to amend the records.


Company in liquidation
Where a vehicle is transferred to a shareholder of a company in a situation where a distribution of assets is occurring as a consequence of a company closing down, the following documents are required:

  • a copy of the Notice of Appointment of the Liquidator signed by the Liquidator and/or a shareholder and/or Director; and
  • proof of shareholder status or a letter from the liquidator stating the company shareholder is entitled to the vehicle; and
  • a completed Vehicle Registration Transfer form signed by the liquidator; and
  • a transfer fee; and
  • motor vehicle duty; and
  • a current Certificate of Roadworthiness



Company reducing capital
Where a vehicle is transferred to a shareholder of a company in a situation where a distribution of assets is occurring as a consequence of the reduction of capital of a company, the following documents are required:

  • a copy of Form 2560 (Notification of Reduction in Capital) from the Australian Securities and Investment Commission (ASIC), signed by the company's director/s ; and
  • a completed Vehicle Registration Transfer form signed by a person eligible to sign on behalf of the company, e.g. Director; and
  • a transfer fee; and
  • a current Certificate of Roadworthiness
  • payment of motor vehicle duty

Corporate reconstructions
Corporations reallocating assets to companies under their control may apply to the State Revenue Office for a Statement of Motor Vehicle Duty Exemption Approval. This exemption allows specified motor vehicles and heavy trailers to be transferred between associated companies and to be exempted from motor vehicle duty.

When corporations have successfully been exempted from the payment of motor vehicle duty by the State Revenue Office under the provision within the Stamps Act 1958 that refers to corporate reconstructions, the transfer fees and certificates of roadworthiness are not required.

When corporations are seeking the above mentioned exemptions due to a corporate reconstruction the following is required by VicRoads:

  • a Statement of Motor Vehicle Duty Exemption Approval issued by the State Revenue Office. This statement must specify the name of the disposer, the name of the acquirer, the registration number of all motor vehicles or heavy trailers covered by the approval, and the date by which the transfers must be lodged with VicRoads for the motor vehicle duty exemption to be valid; and
  • a letter from the vehicle operator requesting an exemption from the transfer fee and certificate of roadworthiness requirements based on a corporate reconstruction.



Company name to name of private individual
When a director/shareholder wishes to transfer the registration of a vehicle from a company name to a private individual, the following items are required:
